NOTICE

This licence is applicable for the following ‘RFI/RFP Templates’ (supplied in “zip” file format): - Accounting Software, BI Software, CRM Software, HR Software, Payroll Software, HR & Payroll Software, and individual templates for RFI, RFP, RFQ and RFP Evaluation. The “.zip” file downloaded (“the File”) accompanying this document contains a copy of one of the above Templates (“the Data”) which are protected by the law of copyright. Set out below are the terms of a Licence Agreement which you are invited to enter with Axia Consulting Limited (“ACL”) which will permit you to use the Data. By installing the Data, you will be deemed to have confirmed your acceptance of and your agreement to be bound by the terms of the Licence Agreement. If you purchased a Template and do not wish to be bound by the terms of the Licence Agreement promptly delete all copies of the File and Data and email ACL as below, and your payment will be refunded.

LICENCE AGREEMENT

1. Axia Consulting Ltd (“ACL”) grants you a non- exclusive, non-transferable licence to use the Data in accordance with the terms and conditions below: 2. The Licence: ACL permits you to use the File and the Data for your own internal company purposes only, eg to: (a) prepare your System Requirements Specification, Requests for Information (RFI) / Proposal (RFP), evaluate software vendor responses and to assist as necessary with the selection of your new system, (b) modify the Data to match your requirements for your new system, and (c) make such copies of the Data and modified Data, as are necessary to prepare your System Requirements Specification, RFI, RFP, evaluate vendor responses, assist with your system selection and for security purposes. Except for distributing copies of your completed System Requirements Specification, RFI, RFP (modified Data), to third-party software vendors within your selection process, all other copies of the Data and modified Data are to remain under your control, and you will take reasonable precautions to safeguard these from unauthorised use. 3. Title and Copyright: ACL retains the title, all rights of ownership, copyright, and intellectual property rights in the Data. 4. Restrictions: You may not: (a) sell, lease, publish, transmit, distribute, modify, or copy the Data except in accordance with paragraph 2 above, (b) use the Data to create a similar product (such as a similar RFI, RFP, template, checklist, worksheet, document), or any similar derivative work, for resale by way of trade or otherwise, (c) use the Data to provide a data processing service to any third party by way of trade or otherwise, (d) assign the benefits of this Licence Agreement. 5. Liability: ACL gives no warranty (either expressed or implied) in relation to the quality, accuracy, performance, and fitness for purpose of either the File or the Data. ACL will not be liable for any loss or damage (whether directly or indirectly suffered), or any consequential loss arising from the use of the File or the Data.

If you wish to obtain a refund, please: 1. Destroy or permanently delete ALL copies of the File, the Data, any modified Data (whether held electronically, or on paper or any other media) and the email sent to you containing the download details. 2. Email us at info@axia-consulting.co.uk with the subject ‘Template Cancellation’ plus provide your name, email address, company name, address, order reference and confirm that you have permanently deleted all copies as per (1) above.

INSTALLATION REQUIREMENTS

System requirements: 2MB free disk space, MS Excel, MS Word, PDF Reader (eg Adobe Acrobat). Best with Microsoft 365, Windows 10. Minimum: MS Excel 2010, MS Word 2010. To install - Double click the downloaded file and follow the instructions.

Template T&C’s / Licence Below are the general Terms and Conditions (Licence) for Axia’s RFI/RFP Templates. A copy of the template licence is included within the downloaded file when purchased. NB: there may be minor amendments to each template licence, to make it more relevant to the template eg HR Template Licence for the HR Software Template.
